Bradford International Alliance Learning Management System
(LMS)

These Terms and Conditions
("Terms") govern access to and use of the Bradford International
Alliance Learning Management System ("Bradford LMS",
"Platform", or "System"), including all associated
websites, applications, software, content, databases, integrations, and
services operated by Bradford International Alliance ("BIA").

By accessing, registering for, using, or
continuing to use the Platform, any institution, instructor, student, employee,
partner, affiliate, or other user ("User") acknowledges that they
have read, understood, and agreed to be bound by these Terms and any related
policies issued by Bradford International Alliance.

 

1. Platform Access and User Accounts

1.1 Bradford International Alliance may
grant authorized users access to the Platform subject to these Terms and any
applicable enrollment, employment, partnership, or service agreements.

1.2 Users are responsible for providing
accurate, complete, and up-to-date information during registration and
throughout their use of the Platform.

1.3 Users are solely responsible for
maintaining the confidentiality of their login credentials and for all
activities conducted through their accounts.

1.4 Bradford International Alliance shall
not be liable for any loss, damage, unauthorized access, or misuse arising from
a User's failure to maintain account security.

1.5 Bradford International Alliance
reserves the right to suspend, restrict, deactivate, or terminate any account
at its sole discretion if suspicious, unauthorized, fraudulent, or prohibited
activity is detected.

 

2. Acceptable Use of the Platform

2.1 The Platform is provided exclusively
for educational, academic, administrative, training, and authorized business
purposes.

2.2 Users shall not:

  1.  Reverse engineer, copy, duplicate,
    modify, decompile, disassemble, or create derivative works from any part of the
    Platform.
  2. Attempt to gain unauthorized
    access to any system, network, database, user account, or restricted area.
  3.  Upload malicious code, viruses,
    malware, ransom ware, spyware, or any harmful software.
  4.  Circumvent security mechanisms,
    access controls, or technical restrictions.
  5.  Use automated software, bots,
    crawlers, scrapers, or similar technologies without prior written
    authorization.
  6.  Engage in any activity that
    disrupts, overloads, damages, or interferes with the operation of the Platform.

2.3 Any violation of this section may
result in immediate suspension or permanent termination of access without prior
notice.

 

3. Intellectual Property Rights

3.1 All rights, title, and interest in
the Platform, including but not limited to software, databases, source code,
designs, interfaces, workflows, trademarks, logos, branding elements,
documentation, and proprietary technologies, shall remain the exclusive
property of Bradford International Alliance and its licensors.

3.2 Nothing contained within the Platform
shall be interpreted as transferring ownership of any intellectual property
rights to any User.

3.3 Educational materials, content,
documents, presentations, videos, assessments, learning resources, and related
content uploaded by Bradford International Alliance shall remain the exclusive
intellectual property of Bradford International Alliance unless expressly
stated otherwise.

3.4 Users shall not reproduce,
distribute, sell, sublicense, publish, record, share, modify, or commercially
exploit any Platform content without prior written consent from Bradford
International Alliance.

 

4. User-Generated Content

4.1 Users may upload content,
assignments, research, discussions, videos, comments, assessments, and other
materials ("User Content").

4.2 Users retain ownership of their
original User Content; however, by uploading such content, Users grant Bradford
International Alliance a worldwide, royalty-free, non-exclusive license to
host, store, process, display, reproduce, and distribute such content solely
for educational, administrative, operational, compliance, quality assurance,
promotional, accreditation, and system-management purposes.

4.3 Bradford International Alliance
reserves the right to review, moderate, remove, archive, or restrict any
content that is considered inappropriate, unlawful, offensive, misleading,
defamatory, infringing, or inconsistent with institutional policies.

5. Academic Records and Data Integrity

5.1 Bradford International Alliance shall
take reasonable measures to maintain the accuracy of academic records,
assessments, attendance records, and student information.

5.2 Users acknowledge that they are
responsible for reviewing and reporting any discrepancies in their records
within a reasonable period.

5.3 Bradford International Alliance shall
not be liable for delays, interruptions, inaccuracies, or losses resulting from
technical failures, third-party services, internet disruptions, user error,
force majeure events, or circumstances beyond its reasonable control.

 

6. Fees, Payments, and Financial Transactions

6.1 Any fees, subscriptions, tuition
payments, certifications, examinations, or related charges associated with the
Platform shall be governed by the applicable enrollment agreement, service
agreement, or institutional policy.

6.2 Payments processed through
third-party banking institutions, payment gateways, merchant providers, or
financial service providers remain subject to their respective terms and
conditions.

6.3 Bradford International Alliance shall
not be liable for:

     
Banking delays;

     
Payment gateway failures;

     
Transaction processing errors
beyond its control;

     
Currency fluctuations;

     
Chargebacks initiated by financial
institutions.

6.4 All refunds, where applicable, shall
be governed solely by Bradford International Alliance's published refund
policies.

7. Privacy and Data Protection

7.1 Bradford International Alliance may
collect, process, store, and utilize user information necessary for academic
administration, regulatory compliance, learning delivery, communication,
reporting, accreditation, analytics, system maintenance, and service
improvement.

7.2 User data may be processed through
cloud infrastructure, hosting providers, technology partners, communication
platforms, and integrated third-party systems utilized by Bradford
International Alliance.

7.3 By using the Platform, Users consent
to such processing and acknowledge that Bradford International Alliance may
transfer, store, or process data in multiple jurisdictions where its technology
providers operate.

8. Platform Availability

8.1 The Platform is provided on an
"As Is" and "As Available" basis.

8.2 Bradford International Alliance does
not guarantee uninterrupted, error-free, secure, or continuous access to the
Platform.

8.3 Scheduled maintenance, software
updates, infrastructure upgrades, third-party outages, cyber incidents, and
unforeseen technical events may affect service availability.

8.4 Bradford International Alliance
reserves the right to modify, suspend, discontinue, replace, or upgrade any
feature, functionality, integration, module, or service at any time without
liability.

 

9. Limitation of Liability

9.1 To the fullest extent permitted by
applicable law, Bradford International Alliance, its officers, directors,
employees, affiliates, contractors, partners, and licensors shall not be liable
for any:

     
Indirect damages;

     
Consequential damages;

     
Special damages;

     
Incidental damages;

     
Loss of profits;

     
Loss of business opportunities;

     
Loss of data;

     
Loss of goodwill;

     
Educational disruption;

     
System downtime;

     
Reputational damage.

9.2 The total liability of Bradford
International Alliance arising from any claim relating to the Platform shall
not exceed the amount actually paid by the User to Bradford International
Alliance during the preceding twelve (12) months.

 

10. Indemnification

Users agree to indemnify, defend, and
hold harmless Bradford International Alliance and its affiliates, officers,
employees, representatives, contractors, and partners from any claims,
liabilities, losses, damages, costs, penalties, legal fees, or expenses arising
from:

     
Violation of these Terms;

     
Misuse of the Platform;

     
Infringement of intellectual
property rights;

     
Unauthorized content uploads;

     
Breach of applicable laws or
regulations.

 

11. Suspension and Termination

Bradford International Alliance reserves
the right, at its sole discretion and without prior notice, to suspend,
restrict, or terminate access to the Platform for any User who:

     
Violates these Terms;

     
Engages in misconduct;

     
Compromises system security;

     
Provides false information;

     
Fails to comply with institutional
policies;

     
Engages in fraudulent, illegal, or
unethical activities.

Termination of access shall not affect
any outstanding financial obligations owed to Bradford International Alliance.

 

12. Amendments

Bradford International Alliance reserves
the right to amend, modify, update, or replace these Terms at any time.

Continued use of the Platform following
publication of revised Terms constitutes acceptance of the updated Terms.

 

13. Governing Law and Jurisdiction

These Terms shall be governed by and
construed in accordance with the laws applicable in the United Arab Emirates.

 

14. Final Provision

Access to the Bradford International
Alliance Learning Management System is a privilege and not a right. Bradford
International Alliance reserves all rights not expressly granted under these
Terms and may take any action reasonably necessary to protect its systems,
intellectual property, users, reputation, and business interests.
